Terms and Conditions

1. Introduction

Welcome to The Antidote ("The Antidote", "we", "our", or "us").

These Terms and Conditions ("Terms") govern your access to and use of The Antidote website, future mobile applications, APIs, software, products and services (collectively, the Services).

By accessing or using the Services you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to all users of The Antidote, including visitors, registered users ("Chillers"), venue representatives, business subscribers and any organisation using our Services.

These Terms incorporate requirements that apply specifically to users who claim or manage Venue listings or subscribe to Professional Services. No separate Venue Terms apply.

These Terms should be read together with our:

  • Privacy Policy; and
  • Cookie Policy;

2. Our Mission

The Antidote exists to help people discover, evaluate and engage with venues, organisations and experiences that provide stress relief.

The Services are intended to provide discovery, information and community features.

Nothing within the Services constitutes:

  • medical advice;
  • psychological advice;
  • addiction treatment;
  • counselling;
  • legal advice;
  • emergency assistance.

Users remain responsible for determining whether any venue, event or organisation is suitable for their own circumstances.

3. Eligibility

You may use the Services only if you have the legal capacity to enter into a binding agreement.

Where local law specifies a minimum age for creating an account, you must satisfy that requirement.

If you create or use an Account on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

4. Definitions

For the purposes of these Terms:

Account means a registered account used to access the Services.

Business Account means an Account used to manage a Venue or organisation.

Chiller means an individual user interested in engaging with a venue or venue owner.

Content means all information, images, software, text, graphics and other material available through the Services.

Professional Subscription means any paid commercial subscription offered by The Antidote.

Services means all products and services operated by The Antidote.

User Content means material submitted by users.

Venue means any business, organisation or other location listed on the platform.

5. User Accounts

Certain functionality requires an Account.

When creating an Account you agree to:

  • provide accurate information;
  • keep your information current;
  • protect your password;
  • keep login credentials confidential;
  • notify us promptly of unauthorised access.

You remain responsible for activity occurring through your Account unless caused by our failure to maintain reasonable security measures.

We may require identity verification before restoring access to an Account.

6. Chiller Accounts

Registered users may access features including, as they become available:

  • favourite venues;
  • saved collections;
  • personalised recommendations;
  • reviews;
  • ratings;
  • profile management;
  • notifications;
  • AI-assisted features;
  • other functionality introduced over time.

Availability of features may vary by region, subscription level or platform version.

7. Business and Venue Accounts

Authorised representatives may create or manage Business Accounts.

By doing so you warrant that:

  • you are authorised to represent connected Venues;
  • information you provide is accurate;
  • uploaded material may lawfully be used;
  • you will keep listing information current.

We may request evidence of authority before granting or continuing administrative access.

8. Claiming Existing Listings

The Antidote may publish Venue listings using information obtained from lawful sources.

Authorised representatives may claim management rights over an existing listing.

We may request evidence including:

  • business registration;
  • government-issued identification;
  • company email verification;
  • domain ownership;
  • telephone verification;
  • other reasonable evidence.

Claim approval remains at our discretion.

Fraudulent claims may result in permanent removal from the platform and, where appropriate, legal action.

9. Venue Information

Venue Operators are responsible for ensuring information under their control remains accurate.

This includes, where applicable:

  • business name;
  • address;
  • website;
  • operating hours;
  • accessibility information;
  • facilities;
  • pricing;
  • event information.

Information should be updated promptly whenever circumstances change.

10. Professional Subscriptions

The Antidote may offer paid Professional Subscription plans.

Features may include:

  • enhanced listings;
  • additional photographs;
  • analytics;
  • promotional tools;
  • staff accounts;
  • event management;
  • enhanced support;
  • future premium functionality.

Subscription features may change as the Services evolve.

11. Billing

Where a Professional Subscription requires payment:

  • pricing will be displayed before purchase;
  • applicable taxes may be added;
  • subscriptions may renew automatically until cancelled;
  • invoices may be issued electronically.

Failure to pay applicable fees may result in suspension of premium functionality.

Nothing in this section limits any mandatory consumer rights that cannot lawfully be excluded.

12. User Content

Users may submit User Content including:

  • reviews;
  • ratings;
  • photographs;
  • comments;
  • profile information;
  • collections;
  • recommendations;
  • other content made available through future platform features.

You remain the owner of your User Content.

By submitting User Content you grant The Antidote a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, adapt and distribute that content solely for operating, improving and promoting the Services.

This licence continues until the content is removed, subject to reasonable legal, operational and archival retention requirements.

13. Reviews and Ratings

Reviews should reflect genuine personal experiences.

Users must not:

  • fabricate reviews;
  • manipulate ratings;
  • submit reviews on behalf of others;
  • accept undisclosed incentives for reviews;
  • impersonate customers.

Venue Operators must not:

  • pressure users to remove reviews;
  • submit fake reviews;
  • manipulate review scores;
  • threaten reviewers.

The Antidote may moderate, edit, remove or refuse publication of reviews that breach these Terms.

14. Images

Users may upload photographs where permitted.

By uploading images you confirm that:

  • you own them or have permission to use them;
  • they do not infringe another person's rights;
  • they accurately represent the relevant subject.

The Antidote may optimise uploaded images for performance, accessibility and responsive display.

Ownership of uploaded images remains with the original rights holder.

15. Acceptable Use

The Antidote exists to provide a safe, respectful and trustworthy platform.

By using the Services you agree to act responsibly and in accordance with these Terms.

15.1 Lawful Use

You must use the Services only for lawful purposes.

You must not use the Services to:

  • commit unlawful acts;
  • facilitate criminal activity;
  • infringe another person's rights;
  • breach applicable regulations;
  • interfere with the operation of the Services.

15.2 Respectful Behaviour

You must not:

  • harass another person;
  • bully another person;
  • intimidate another person;
  • threaten violence;
  • promote hatred;
  • unlawfully discriminate against others;
  • deliberately target vulnerable members of the community.

15.3 Honest Participation

You must not:

  • impersonate another person;
  • impersonate a business;
  • create fake accounts;
  • misrepresent your affiliation with a Venue;
  • submit misleading information;
  • manipulate reviews or ratings.

Trust is fundamental to The Antidote community.

15.4 User Content Standards

Content submitted to the Services must:

  • be lawful;
  • be accurate to the best of your knowledge;
  • be respectful;
  • not infringe intellectual property rights;
  • not contain malicious software;
  • not contain unlawful discrimination;
  • not invade another person's privacy.

We may remove content that breaches these standards.

15.5 Images

Images uploaded to the Services must:

  • accurately represent the relevant subject;
  • be lawfully obtained;
  • not infringe copyright;
  • not invade another person's privacy;
  • comply with applicable laws.

15.6 Privacy of Others

You must not:

  • publish another person's private information without permission;
  • harvest user information;
  • collect email addresses through automated means;
  • disclose confidential communications;
  • attempt to identify anonymous users.

15.7 Security

You must not attempt to compromise the security of the Services.

Prohibited conduct includes:

  • unauthorised access;
  • password attacks;
  • credential stuffing;
  • denial-of-service attacks;
  • malware distribution;
  • bypassing authentication controls;
  • exploiting vulnerabilities without permission.

Responsible security research may only be undertaken with our prior written approval.

15.8 Automated Access

Unless expressly authorised, you must not:

  • scrape the Services;
  • harvest listings;
  • extract databases;
  • use automated bots;
  • perform bulk downloads;
  • interfere with search indexing.

Reasonable indexing by recognised search engines is permitted where authorised through industry-standard mechanisms.

15.9 Artificial Intelligence

Where AI-assisted functionality is provided, you must not use it to:

  • generate fake reviews;
  • impersonate another person;
  • spread misinformation;
  • facilitate fraud;
  • harass others;
  • produce unlawful content.

You remain responsible for content created or published using AI-assisted tools.

15.10 Commercial Activity

Unless expressly authorised, you must not:

  • send spam;
  • conduct unsolicited marketing;
  • advertise unrelated products;
  • recruit users for unrelated commercial purposes;
  • misuse messaging functionality.

Authorised business promotion should occur only through approved platform features.

15.11 Enforcement

Where we reasonably believe these Terms have been breached, we may:

  • issue warnings;
  • remove content;
  • restrict functionality;
  • suspend Accounts;
  • terminate Accounts;
  • report unlawful conduct to appropriate authorities where legally required.

Our response will generally reflect the seriousness of the conduct and the risks posed to users and the platform.

16. Intellectual Property

Unless otherwise indicated, the Services and their contents are owned by or licensed to The Antidote and are protected by applicable intellectual property laws.

This includes:

  • software;
  • source code;
  • databases;
  • branding;
  • logos;
  • graphics;
  • layouts;
  • original written material;
  • platform functionality.

Nothing in these Terms transfers ownership of our intellectual property to you.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable licence to access and use the Services for their intended purpose.

17. Copyright and Trade Marks

Users must upload only material they own or have permission to use.

If you believe material published through the Services infringes your copyright or other intellectual property rights, you may notify us so that we can investigate.

"The Antidote", our logos and associated branding may be protected by registered or unregistered trade marks.

You must not use our trade marks without prior written permission except where permitted by law.

18. Artificial Intelligence Features

The Services may incorporate AI-assisted functionality.

AI may assist with:

  • recommendations;
  • search;
  • moderation;
  • accessibility;
  • customer support;
  • translations;
  • fraud detection;
  • content summaries.

AI-generated information may occasionally be incomplete or inaccurate.

Users remain responsible for decisions made using AI-generated information.

The Antidote does not use AI to make solely automated decisions that produce legal or similarly significant effects on individuals without appropriate safeguards where required by law.

19. Third-Party Services

The Services may integrate with third-party providers including:

  • payment processors;
  • mapping services;
  • authentication providers;
  • analytics providers;
  • communications providers;
  • cloud infrastructure providers.

Those providers operate under their own legal terms and privacy policies.

The Antidote is not responsible for third-party products or services.

20. Availability of the Services

We aim to provide reliable Services but do not guarantee uninterrupted availability.

The Services may occasionally be unavailable due to:

  • maintenance;
  • upgrades;
  • infrastructure failures;
  • telecommunications failures;
  • security incidents;
  • events beyond our reasonable control.

We may modify, suspend or discontinue any part of the Services at any time, subject to applicable law.

21. Suspension and Termination

We may suspend or terminate access where we reasonably believe:

  • these Terms have been breached;
  • fraudulent conduct has occurred;
  • applicable law requires action;
  • platform security is at risk;
  • another person's rights or safety are threatened.

Where reasonably practicable, we will provide notice and an opportunity to remedy the issue before permanent termination.

Immediate suspension may occur where necessary to protect users, comply with legal obligations or maintain platform security.

You may close your Account at any time.

Termination does not affect rights or obligations that accrued before termination.

22. Consumer Rights

Nothing in these Terms excludes, restricts or modifies any consumer rights, guarantees or remedies that cannot lawfully be excluded under applicable legislation.

Where mandatory consumer protection laws apply, these Terms operate subject to those laws.

If any provision of these Terms is inconsistent with a mandatory consumer right, that provision will be interpreted only to the extent necessary to comply with the applicable law.

23. Limitation of Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.

Subject to that qualification and to the maximum extent permitted by applicable law:

  • the Services are provided on an "as available" and "as is" basis;
  • we do not guarantee uninterrupted or error-free operation;
  • we do not guarantee that every Venue, listing or recommendation will meet your individual requirements;
  • we do not guarantee that information published by third parties will always be complete, accurate or current.

To the maximum extent permitted by law, The Antidote is not liable for indirect, incidental, consequential, exemplary, special or punitive damages, including loss of profits, revenue, goodwill, opportunity, reputation or data arising from your use of the Services.

Where liability cannot lawfully be excluded but may be limited, our liability is limited to the maximum extent permitted by applicable law.

24. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless PragmaTech Sydney Pty Ltd., its directors, officers, employees, contractors and agents against losses, liabilities, claims, damages and reasonable legal costs arising from:

  • your breach of these Terms;
  • your unlawful conduct;
  • infringement of another person's rights;
  • misuse of the Services;
  • content you submit through the Services.

This indemnity does not apply to the extent that a claim results from our negligence, fraud or wilful misconduct.

25. Force Majeure

PragmaTech Sydney Pty Ltd. is not responsible for delays or failures caused by events beyond our reasonable control.

Examples include:

  • natural disasters;
  • acts of government;
  • armed conflict;
  • terrorism;
  • civil unrest;
  • widespread internet failures;
  • infrastructure failures;
  • pandemics;
  • industrial action;
  • cyber attacks beyond reasonable mitigation measures.

Where practicable, we will take reasonable steps to minimise disruption.

26. Privacy

Your use of the Services is also governed by our Privacy Policy.

The Privacy Policy explains:

  • what Personal Information we collect;
  • how we use it;
  • how long we retain it;
  • your legal rights;
  • how you may contact us regarding privacy matters.

By creating an Account, you acknowledge that you have read the Privacy Policy.

Where applicable law requires consent for particular processing activities, we will obtain that consent separately.

27. Changes to these Terms

We may update these Terms from time to time to reflect:

  • legal developments;
  • regulatory requirements;
  • new functionality;
  • security improvements;
  • operational changes;
  • commercial developments.

Where changes are material, we will provide notice through appropriate channels, including publication on our website or notifications within the Services where appropriate.

The version number and effective date shown at the beginning of this document identify the current version.

Continued use of the Services after the effective date of revised Terms constitutes acceptance of those revised Terms to the extent permitted by applicable law.

28. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions continue in full force and effect.

The invalid provision shall be interpreted, where possible, in a manner that most closely reflects its original intent while remaining legally enforceable.

29. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and The Antidote regarding your use of the Services.

They supersede all prior understandings relating to the same subject matter to the extent permitted by law.

30. Governing Law

The Antidote is intended to operate internationally.

These Terms are governed by the laws applicable to the legal entity operating The Antidote (PragmaTech Sydney Pty Ltd.) in the jurisdiction through which the Services are provided (New South Wales, Australia).

Nothing in this clause limits any mandatory rights or protections that consumers are entitled to under the laws of their country, state or territory of residence.
